Terms of Service

By accessing or using THE NETWORK platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all visitors, registered users, and any other individuals who access the Platform.

THE NETWORK is a real estate referral marketplace that connects licensed real estate agents, brokerages, and referring parties to facilitate client referrals. The Platform enables users to submit leads, claim referrals, track deal progress, and receive referral fee payouts (for licensed professionals) or discretionary Thank You Rewards (for unlicensed Lead Referrers) upon successful transaction closings.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.

To use the Platform you must:

• Be at least 18 years of age
• Hold a valid, active real estate license (for agents claiming referrals)
• Provide accurate and complete registration information
• Not be prohibited from using the Platform under applicable law

We reserve the right to verify licensure and suspend or terminate any account that fails to meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@thebayareaexperience.com of any unauthorized use of your account.

We reserve the right to terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period.

Submission: Users submitting referrals represent that they have a legitimate, consented relationship with the client being referred and that the referral complies with applicable real estate laws and regulations.

Claiming: Agents who claim a referral agree to actively work the lead in good faith, maintain regular communication with the referring party, and comply with all agreed referral fee terms.

Referral Fees (Licensed Agents & Brokerages): Referral fee percentages are agreed upon at the time of submission between licensed real estate professionals. Fees are payable upon successful closing of the transaction. THE NETWORK facilitates fee tracking but is not responsible for collecting fees directly from agents unless using our integrated payout system.

Referral Agreement: By claiming a referral, you electronically acknowledge and agree to the referral fee terms displayed at the time of claim. This constitutes a binding agreement between the referring party and the claiming agent.

Unlicensed individuals ("Lead Referrers") who submit leads through the Platform are not eligible to receive referral fees as defined under applicable real estate licensing laws, including the federal Real Estate Settlement Procedures Act (RESPA) and state-specific regulations.

Instead, Lead Referrers may receive a discretionary "Thank You Reward" — a fixed goodwill gesture provided by THE NETWORK upon successful closing of a referred transaction. These rewards are:

• Not a commission, referral fee, or compensation for a real estate service
• Not contingent on the value of the transaction beyond serving as a basis for estimation
• Provided entirely at THE NETWORK's discretion and subject to change
• Not a guaranteed payment and may be declined or withheld if legal compliance cannot be confirmed

State-Specific Notice: If you reside in California, Texas, or Florida, you acknowledge that your state has strict laws prohibiting unlicensed persons from receiving compensation for referring real estate clients. By submitting a lead, you represent that you are not acting as a real estate broker or agent and that you are not receiving a reward in exchange for performing any act requiring a real estate license.

THE NETWORK reserves the right to withhold any reward if, in its sole judgment, payment would violate applicable law. Users are responsible for understanding the laws in their jurisdiction. This platform does not provide legal advice.

Certain features of the Platform require a paid subscription. Subscription fees are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Free Plan: Limited to a set number of monthly referral submissions. Usage limits are enforced automatically.

Pro & Brokerage Plans: Offer expanded submission limits, analytics, and additional platform features as described on our Pricing page.

Cancellation: You may cancel your subscription at any time. Access to paid features continues through the end of the current billing period. We do not offer refunds for partial billing periods.

You agree not to:

• Submit false, misleading, or fabricated referral leads
• Impersonate another person or misrepresent your licensure status
• Use the Platform to harass, spam, or solicit other users
• Reverse engineer, scrape, or otherwise misuse the Platform's technology
• Violate any applicable federal, state, or local real estate laws or regulations
• Circumvent referral fee agreements after a deal is closed

Violations may result in immediate account suspension and potential legal action.

All content on the Platform, including logos, design, copy, and software, is the property of THE NETWORK or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

By submitting content to the Platform (referral descriptions, messages, reviews), you grant THE NETWORK a non-exclusive, royalty-free license to use, display, and process that content solely for the purpose of operating the Platform.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY REFERRAL INFORMATION SUBMITTED BY USERS.

THE NETWORK is not a licensed real estate broker and does not participate in real estate transactions. All transactions are conducted between independent licensed professionals.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOST PROFITS, LOST REFERRAL FEES, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless THE NETWORK, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California.

We reserve the right to update these Terms at any time. We will notify registered users of material changes via email or an in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
